1. Introduction

These Terms of Service govern the provision of consultancy and development services by Giv AI Labs Ltd, trading as "Mantiq Systems" and "Mantiq Labs".

2. Our Services

Mantiq Systems provides bespoke AI services including:

• AI Strategy: Opportunity assessment, technology roadmaps, implementation planning
• Bespoke Development: Custom AI systems designed to your requirements
• Integration Services: API development, data pipelines, legacy system integration
• Training and Enablement: Technical training, documentation, ongoing support

3. Engagement Terms

Individual project engagements are governed by separate Statements of Work (SOW) or service agreements that specify scope, deliverables, timelines, and fees.

These general Terms of Service apply in addition to any project-specific agreements, unless expressly stated otherwise.

4. Payment Terms

• Fees are quoted in GBP unless otherwise agreed
• All fees are exclusive of VAT, which will be added at the applicable rate
• Payment terms are specified in individual project agreements (typically 30 days from invoice)
• Late payments may incur interest at the statutory rate

5. Intellectual Property

5.1 Client-owned deliverables

Unless otherwise agreed, all bespoke work product created specifically for a client transfers to the client upon full payment.

5.2 Our intellectual property

Pre-existing tools, methodologies, and general-purpose components remain our intellectual property. Clients receive a licence to use such components within their deliverables.

6. Confidentiality

We maintain strict confidentiality regarding all client information, business processes, and project details. Confidentiality obligations survive the termination of any engagement.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any engagement shall not exceed the fees paid for that specific engagement.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Governing Law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
